DIRECTOR NOMINEES AND BYLAWS

ANNUAL MEETING 2020

The 2020 Annual Membership Meeting and the election of Directors, originally scheduled to be held on Thursday, May 21, has been postponed until September 22, 2020, due to precautionary COVID-19 social distancing practices.   A new date will soon be announced.

 

The below listed members have been submitted by the Nominating Committee and approved by the Board of Directors as nominees for election to the Board. If no valid petition is received by the filing deadline (April 6, 2020), because the number of vacancies equals the number of selected nominees, the following will be appointed to serve at the Credit Union’s annual meeting.

Richard J. Glass – Fortera Credit Union member since 1989. Currently serves on the Supervisory Committee and former Advisory Board member. Employed by the Department of Defense as an IT Specialist; served in US Air Force as a medic. Former reserve member of the Clarksville Police and Montgomery Sheriff’s Departments. Coached various Clarksville youth sports teams and served on the St. Bethlehem Little League Board of Directors; member of the Clarksville Jaycees. Volunteer at Manna Café Ministries and member of Grace Community Church. Graduated from Austin Peay State University with a BS in Industrial Technology.

Linda Medina Griffy – Fortera Credit Union member since 2012. Currently serves on the Supervisory Committee and former Advisory Board member. Teaches 8th grade English and Literacy Coordinator at New Providence Middle School. Former Principal and Assistant Principal in the Montgomery County School System for 15 years. Recipient of awards and achievements from the Montgomery County School system; served on numerous groups and committees aimed at promoting literacy and educational standards.  Local strawberry grower and active member of Dotsonville Church of Christ. Graduated from Hopkinsville Community College with an Associate of Arts and from Austin Peay State University with a BA in Education and MA in Education, Leadership Studies.

Leida E. Pérez – Fortera Credit Union member since 2005. Currently serves on the Board of Directors and former Supervisory Committee member. Currently teaches middle school science and works as a real estate investor in Tampa, FL. Previously employed as Lab Manager and adjunct instructor in the Biology Department at Austin Peay State University and served on numerous departmental and on-campus committees including Technology, Non-Academic Grievance, and Environmental Affairs. Worked as a science and technology teacher grades K-12 in Puerto Rico.  Graduated from the University of Puerto Rico with BS in Coastal Marine Biology and MS in Environmental Health, and from APSU with a MS in Management.

Owen R. Schroeder, Jr. – Fortera Credit Union member since 1992. Currently serves on the Board of Directors and former Supervisory Committee member. Served on Credit Committee, Murray State University Federal Credit Union. Retired US Army; duties included budgeting and financial management; recipient of numerous decorations and awards. Served as Associate Director, Breathitt Veterinary Center at Murray State University. Former Outdoor Columnist for Leaf Chronicle, Clarksville, TN. Served as Chairman, Clarksville-Montgomery County Military and Veterans Affairs Commission; Commander, American Legion Post 7, Clarksville, TN; Treasurer and Board of Directors, Southeastern Outdoor Press Association; and, President and Secretary/Treasurer, Tennessee Outdoor Writers Association. BS in Accounting and Business Administration, Austin Peay State University and Master of Public Administration, University of Missouri.

 


BYLAWS - SECTION 1. NCUA 8001A(M3700)112283 L-70-092482 (Deadline for filing petitions is April 6, 2020.)

"At least 120 days prior to each Annual Meeting, the Chairman of the Board shall appoint a nominating committee of not fewer than three members.  It shall be the duty of the nominating committee to nominate at least one member for each vacancy, including any unexpired term vacancy, for which elections are being held, and to determine that the members nominated are agreeable to the placing of their names in nomination and will accept office if elected.  The nominating committee shall file its nominations with the secretary of the Credit Union at least 90 days prior to the Annual Meeting, and the secretary shall notify in writing all members eligible to vote at least 75 days prior to the Annual Meeting that nominations for vacancies may also be made by petition signed by one percent of the members with a minimum of 20 and a maximum of 500."

"The written notice shall indicate that the election will not be conducted by ballot and there will be no nominations from the floor when there is only one nominee for each position to be filled. A brief statement of qualifications and biographical data, in such form and shall be approve by the Board of Directors, will be included for each nominee submitted by the nominating committee with the written notice to all eligible members. Each nominee by petition shall submit a similar statement of qualifications and biographical data with petition. The written notice shall state the closing date for receiving nominations by petition. The period for receiving nominations by petition shall, in all cases, extend at least 30 days from the date the petition requirement and the list of nominating committee's nominees are mailed to all members. To be effective, such nominations shall be accompanied by a signed certificate from the nominees stating that they are agreeable to nomination and will serve if elected to office. Such nominations shall be filed with the secretary of the credit union at least 40 days prior to the Annual Meeting and the secretary shall cause such nominations along with those of the nominating committee to be posted in a conspicuous place in each Credit Union office at least 35 days prior to the annual meeting."
